The acquisition will build on Setco Auto Systems’ strong manufacturing legacy and foster RSB’s growth as a systems-led, multi-product automotive components platform
KALOL, GUJARAT | 10th JULY 2026 | RSB Transmissions (I) Ltd and Setco Auto Systems Pvt. Ltd. (SASPL) marked the beginning of a new chapter together at Setco’s manufacturing facility in Kalol, Gujarat, following RSB Transmissions’ recent acquisition of SASPL. The occasion brought together leadership teams from both organisations and marked the start of a new chapter for the business, its people, customers, partners and the wider automotive manufacturing ecosystem.
As part of the commencement, a traditional pooja was held at the Kalol facility, symbolising continuity, shared commitment and the beginning of the next phase of growth for Setco Auto Systems under the RSB platform.
SASPL is one of India’s leading suppliers of MHCV clutch systems and aftermarket drivetrain solutions, with a strong presence across OEM and aftermarket segments. By bringing SASPL into its portfolio, RSB strengthens its strategy to build a systems-led, multi-product automotive components platform while building on SASPL’s manufacturing foundation, customer relationships and market presence.
Gujarat has been central to Setco Auto Systems’ journey, with the Kalol facility playing an important role in its manufacturing and operational footprint, along with another facility in Uttarakhand. Together, RSB Transmissions’ platform capabilities and SASPL’s established product expertise are expected to further strengthen the company’s ability to serve commercial vehicle customers across India.
The integration is also expected to create opportunities for deeper local engagement in Gujarat through community development initiatives, stronger collaboration with the regional supplier ecosystem, sustainability-driven programmes and initiatives that support manufacturing excellence. These efforts will be aligned with the companies’ broader focus on responsible growth, local ecosystem development and long-term value creation for stakeholders.

The association follows RSB Transmissions’ acquisition of SASPL, which was earlier a material subsidiary of Setco Automotive Limited. In line with the transaction, Setco Automotive Limited has also agreed to a proposal to transition away from the “Setco” brand and change its corporate name to “Shilayan Industries Limited,” subject to requisite approvals.
The coming together of RSB Transmissions and Setco Auto Systems brings together complementary capabilities across drivetrain, transmission and clutch systems. It also reinforces the shared focus of both organisations on quality, customer service, operational excellence and long-term value creation across OEM and aftermarket segments.
